1. Scope of Application
These General Terms and Conditions (GTC) apply to all business relationships between Jmijihjijdg GmbH (hereinafter "Provider") and the customer. The version of the GTC valid at the time of contract conclusion shall be decisive. Deviating terms and conditions of the customer are not recognized unless the Provider expressly agrees to their validity in writing.
2. Subject Matter of the Contract
The Provider offers consulting services in the area of regional development, funding advice, and project support. The exact scope of services is determined by the respective service description and individual offer. The Provider is entitled to have the services provided by qualified third parties.
3. Conclusion of Contract
The presentation of our services on the website does not constitute a binding offer. By submitting an inquiry through our website, you submit a binding offer. The contract is only concluded upon our express acceptance, usually by sending an order confirmation.
4. Customer Obligations
The customer is obliged to: • Provide all information and documents required for the performance of services in a timely and complete manner • Adhere to agreed deadlines • Pay remuneration on time • Cooperate in the performance of services, insofar as this is necessary
5. Remuneration and Payment Terms
Remuneration is based on the individual offer. All prices are exclusive of statutory VAT. Invoices are due for payment without deduction within 14 days of the invoice date. In the event of late payment, the Provider is entitled to charge default interest at the rate of 9 percentage points above the base interest rate.
6. Liability
The Provider has unlimited liability for intent and gross negligence. For slight negligence, the Provider is only liable for the breach of essential contractual obligations (cardinal obligations). In this case, liability is limited to the foreseeable, contract-typical damage. The above limitations of liability do not apply to damage resulting from injury to life, body, or health.
7. Confidentiality
The parties undertake to keep all confidential information received in the course of cooperation secret and to use it only for the purposes of contract fulfillment. This obligation continues to exist even after the end of the contractual relationship.
8. Final Provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from this contractual relationship is Berlin, provided the customer is a merchant, a legal entity under public law, or a special fund under public law. If individual provisions of these GTC are or become invalid, the validity of the remaining provisions shall remain unaffected.
